Documents Required for Private Limited Company Registration

To register a Private Limited Company (Pvt Ltd) in India under the Companies Act, 2013, the following documents must be submitted to the Ministry of Corporate Affairs (MCA):

  1. Documents for Directors & Shareholders

✅ PAN Card – Mandatory for all directors and shareholders (Self attested).
✅ Aadhaar Card / Voter ID / Passport / Driving License – Proof of identity (Self attested).
✅ Passport (For Foreign Nationals/NRI) – Compulsory for non-Indian directors/ shareholders.
✅ Address Proof – Recent utility bill (Electricity, Telephone, or Bank Statement) not older than 2 months.
✅ Digital Signature Certificate (DSC) – Required for e-filing with MCA.
✅ Required One Photo of Each Director.

✅ Required Mobile No, Email Id, Qualification, Occupation, Place of Birth of Each Director and Shareholder.
✅ Required Email id of the Company (Should not be similar with Director’s mail id).

  1. Registered Office Address Proof

✅ Latest Utility Bill (Electricity, Water, Gas, or Property Tax Receipt) – Must not be older than 2 months.
✅ Rental Agreement (If rented) – Lease/ Rent Agreement between company & landlord.
✅ No Objection Certificate (NOC) – From the owner allowing company registration at the address.

  1. Company-Related Documents

✅ Memorandum of Association (MoA) – Defines the company’s objectives and business activities.
✅ Articles of Association (AoA) – Outlines the rules & regulations for company operations.
✅ Declaration by Directors (Form INC-9) – Self-declaration by all directors regarding compliance.
✅ Consent to Act as Director (Form DIR-2) – Declaration by directors agreeing to hold office.

Additional Documents (If Applicable)

📌 For Foreign Directors/NRIs: Apostilled/Notarized Passport & Address Proof.
📌 For Startup India Registration: Certificate of recognition from DPIIT.
